End User License Agreement
This End User License Agreement ("EULA") governs your use of the Ukubona Windows desktop application ("the Software"). Please read it carefully before installing or using the Software. By installing or using the Software, you agree to the terms of this EULA.
1. Grant of License
Ukubona grants you a non-exclusive, non-transferable, revocable license to install and use the Ukubona Windows desktop application solely for your personal or professional use on devices you own or control. This license does not extend to any use on behalf of a third party without a separate written agreement.
2. Restrictions
You may not:
- Copy, modify, or create derivative works of the Software.
- Distribute, transfer, sublicense, or sell the Software to any third party.
- Reverse-engineer, decompile, or disassemble the Software.
- Remove or alter any proprietary notices, labels, or marks on the Software.
- Use the Software for any purpose that violates applicable law or regulation.
3. Ownership
Ukubona and its licensors retain all intellectual property rights in and to the Software, including all source code, object code, documentation, and related materials. This EULA grants you a license to use the Software; it does not transfer ownership of the Software or any intellectual property rights to you.
4. Updates
Ukubona may deliver automatic updates to the Software to fix bugs, add features, or address security vulnerabilities. Such updates may be installed automatically without separate notice. Updated versions of the Software are subject to this EULA unless a new agreement is presented at the time of installation.
5. No Warranty
The Software is provided "as is" and without warranty of any kind. To the maximum extent permitted by applicable law, Ukubona expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Ukubona does not warrant that the Software will operate without interruption or error, that defects will be corrected, or that the Software will meet your specific requirements.
6. Clinical Use Disclaimer
The Ukubona application is a clinical decision-support tool for use by qualified healthcare professionals. It is not approved as a certified medical device for primary diagnosis in any jurisdiction unless specified in a separate written agreement with Ukubona.
All clinical decisions must be made by a qualified healthcare practitioner exercising independent professional judgment. Ukubona accepts no liability for any clinical decisions made using the Software, for patient outcomes, or for any consequences arising from reliance on the Software's output.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Ukubona shall not be liable for any damages arising from your use of or inability to use the Software, including but not limited to direct, indirect, incidental, special, consequential, or punitive damages. This includes patient harm, data loss, loss of revenue, or business interruption, even if Ukubona has been advised of the possibility of such damages.
8. Termination
This license is effective until terminated. Your rights under this EULA will terminate automatically and without notice if you breach any of its terms. Upon termination, you must cease all use of the Software and uninstall it from all devices. Sections 3, 5, 6, and 7 survive termination of this EULA.
9. Governing Law
These terms are governed by applicable law. Any disputes arising out of or in connection with this EULA shall be resolved in accordance with the laws of the applicable jurisdiction. Nothing in this section limits rights you may have under consumer protection or healthcare-specific legislation in your jurisdiction.
